Terms of Service

Welcome to SCAFFOLD. These Terms of Service (“Terms”) govern your access to and use of our spec-first development platform (“Service”). By using SCAFFOLD, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By creating an account, accessing, or using SCAFFOLD, you agree to:

  • • Be bound by these Terms
  • • Comply with our Privacy Policy
  • • Use the Service in accordance with applicable laws
  • • Be at least 13 years of age (or the age of majority in your jurisdiction)

If you do not agree to these Terms, you may not use the Service.

2. Service Description

SCAFFOLD provides a spec-first development platform that enables users to:

  • • Create and organize software project specifications
  • • Generate file-level specifications using AI assistance
  • • Lock specifications to create immutable implementation contracts
  • • Export specifications for AI-assisted code implementation
  • • Manage dependencies between specification components

Important: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Responsibilities

3.1 Account Creation

  • • You must provide accurate, current, and complete information
  • • You are responsible for maintaining account security
  • • You must safeguard your password and API keys
  • • You must immediately notify us of unauthorized access

3.2 Account Usage

  • • One person or entity per account (no sharing)
  • • You are responsible for all activity under your account
  • • Accounts are non-transferable
  • • Business accounts may add authorized team members

4. Acceptable Use Policy

You agree NOT to:

Violate laws: Use the Service for illegal activities
Abuse systems: Reverse engineer, decompile, or hack the Service
Overload infrastructure: Use automated systems to access the Service excessively
Share credentials: Allow unauthorized users to access your account
Infringe rights: Violate intellectual property or privacy rights of others
Distribute malware: Upload viruses, malicious code, or harmful content
Resell service: Resell, sublicense, or redistribute the Service without authorization

Violation of this policy may result in immediate termination of your account.

5. Subscription and Billing

5.1 Plans and Pricing

  • Free Plan: Basic features with usage limits
  • Paid Plans: Lite, Starter, Professional, Ultra (see Pricing)
  • • Prices are subject to change with 30 days’ notice

5.2 Payment Terms

  • • Subscriptions are billed monthly or annually in advance
  • • Payments are processed securely through Stripe
  • • All fees are non-refundable except as required by law
  • • Failed payments may result in service suspension

5.3 Upgrades and Downgrades

  • • Upgrades take effect immediately; you are charged the prorated difference
  • • Downgrades take effect at the end of the current billing period
  • • No refunds for unused time when downgrading

5.4 Cancellation

  • • You may cancel your subscription at any time
  • • Access continues until the end of the paid period
  • • No refunds for partial months or early cancellation
  • • Canceled accounts may be deleted after 30 days

6. AI Usage and Credits

  • • AI features consume credits based on complexity and length
  • • Credits reset monthly according to your plan
  • • Unused credits do not roll over to the next month
  • • AI-generated content is provided “as-is” without guarantees
  • • You are responsible for reviewing and validating AI outputs

7. Intellectual Property

7.1 Your Content

You retain all ownership rights to the content you create on SCAFFOLD (projects, specifications, requirements, etc.). By using the Service, you grant us a limited license to:

  • • Store and process your content to provide the Service
  • • Use your content to improve AI features (anonymized and aggregated)
  • • Display your content within the Service to you and authorized collaborators

7.2 Our Platform

SCAFFOLD, including its design, code, features, and trademarks, is owned by us and protected by intellectual property laws. You may not:

  • • Copy, modify, or create derivative works
  • • Use our trademarks without written permission
  • • Remove or alter copyright notices

7.3 AI-Generated Content

You own AI-generated specifications created using SCAFFOLD. However:

  • • AI outputs may not be unique to you (similar prompts may yield similar results)
  • • You are responsible for ensuring AI-generated content does not infringe third-party rights
  • • We do not claim ownership of AI-generated content

8. Data and Privacy

Your use of SCAFFOLD is subject to our Privacy Policy. Key points:

  • • We collect and process data as described in the Privacy Policy
  • • You control your data and can export or delete it
  • • We use third-party services (Stripe, Supabase, Azure OpenAI) as outlined
  • • We implement security measures to protect your data (see Security Policy)

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including:

  • • Warranties of merchantability, fitness for a particular purpose
  • • Non-infringement, accuracy, or completeness
  • • Uninterrupted or error-free operation
  • • Security of data or prevention of unauthorized access

You use the Service at your own risk. We recommend:

  • • Regularly backing up your data
  • • Reviewing all AI-generated content before use
  • • Testing specifications thoroughly before implementation

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • • Our total liability is limited to the amount you paid us in the 12 months prior to the claim
  • • We are not liable for losses resulting from:
    • - Use or inability to use the Service
    • - Data loss or corruption
    • - Third-party actions or content
    • - Unauthorized access to your account
    • - Errors in AI-generated content

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless SCAFFOLD, its affiliates, and personnel from any claims, damages, losses, or expenses (including legal fees) arising from:

  • • Your use of the Service
  • • Your violation of these Terms
  • • Your violation of third-party rights
  • • Content you submit or generate

12. Termination

12.1 By You

You may terminate your account at any time through the billing settings or by contacting support.

12.2 By Us

We may suspend or terminate your account immediately if:

  • • You violate these Terms or our policies
  • • Your account is used for illegal activities
  • • Payment failures exceed 30 days
  • • We discontinue the Service (with 30 days’ notice)

12.3 Effect of Termination

  • • Access to the Service ends immediately
  • • Your data may be deleted after 30 days
  • • Outstanding fees remain due
  • • Provisions that should survive (IP, liability, etc.) remain in effect

13. Dispute Resolution

13.1 Informal Resolution

Before filing a legal claim, please contact us at owner@specdriver.dev to attempt resolution.

13.2 Arbitration

Any disputes that cannot be resolved informally will be resolved through binding arbitration, except:

  • • Small claims court disputes (if eligible)
  • • Intellectual property disputes

13.3 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action, consolidated action, or representative action.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • • Posting the updated Terms with a new “Last Updated” date
  • • Sending an email notification
  • • Displaying a notice on the platform

Your continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

15. Miscellaneous

15.1 Governing Law

These Terms are governed by the laws of the jurisdiction in which SCAFFOLD is registered, without regard to conflict of law principles.

15.2 Severability

If any provision is found unenforceable, it will be modified to reflect the parties’ intent, and remaining provisions remain in effect.

15.3 Entire Agreement

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and SCAFFOLD.

15.4 Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations to an affiliate or successor.

15.5 Waiver

Our failure to enforce any provision does not waive our right to enforce it later.
